Your Best Moment Contest Official Content Rules

Description of the Contest 

Hudl develops and markets sports video hosting and analysis software and hardware to help coaches and athletes win (“Hudl”). Hudl is the sponsor of the Your Best Moment Contest (the “Contest”), a chance for your team to win $2,000 worth of team-branded swag. The Your Best Moment Contest is designed to celebrate the end of high school basketball season and give teams a chance to have their favorite play captured by Hudl Focus featured on www.hudl.com/products/focus/yo... and in Hudl marketing materials. Judges will choose a winning submission, and a grand prize will be awarded in accordance with these official rules (the “Rules”).

Who Can Enter 

  1. An “Entrant” is an individual with a Hudl account who (i) completes and submits an entry form on behalf of his/her team and (ii) sends a direct video exchange to “Your Best Moment Contest” on Hudl.com (an “Entry”). The Contest is open only to Entrants who are legal residents of the 50 United States and the District of Columbia and are 18 years of age and older at the time of entry. 
  2. Employees of Hudl, its subsidiaries and affiliated companies, and their immediate family members are ineligible to be Entrants. The term “immediate family member” includes spouses, grandparents, parents, siblings, children, and grandchildren, regardless of where they reside. 

Binding Agreement 

By entering the Contest, Entrants agree to these official rules (the “Rules”). These Rules form a binding legal agreement between Entrants and Hudl with respect to the Contest. The Contest will be evaluated according to U.S. law and any applicable state laws, which take precedence over any Rule to the contrary herein. By participating in the Contest, Entrant waives any and all claims of liability against Hudl, its subsidiaries and affiliates, and its respective employees and agents, for any personal injury or loss that may occur from the conduct of, or participation in, the Contest, or from being named a winner. All claims relating in any manner to this Contest or to any Entry must be resolved in the federal or state courts in Lancaster County, Nebraska. 

Overview 

No purchase, payment, or donation of any kind is necessary to enter or win; a purchase, payment, or donation will not increase the chance of winning. By entering, Entrant agrees to be bound by these Rules and the decisions of Hudl, which shall be final. The Contest starts at 12:00 a.m. CST on Tuesday, February 18, 2020 and ends at 11:59 p.m. CST on Thursday, March 5, 2020 (“Contest Period”). Entries received after the Contest Period will not be considered for prizes.

Entry Requirements

The Entry must include (i) game video captured by Hudl Focus, (ii) a timestamp directing judges to the best moment, and (iii) a reason why your team should win by sending a direct exchange on Hudl.com. Entrants must complete the exchange with the “Your Best Moment Contest” team on Hudl; Entrants will receive a confirmation email letting them know the exchange was completed. 

Entry Restrictions

  1. Limit one Entry per Entrant. Only one Entry per team is permitted. However, teams within the same program may submit an Entry on behalf of each team. For example, the varsity and JV boys basketball teams and the varsity and JV girls basketball teams may each submit an Entry (four separate Entries).
  2. Once the Entry is completed and submitted, the Entry is final and may not be replaced, modified, supplemented, or edited. Hudl is not responsible for lost, late or misdirected Entries, server unavailability, human error, any mechanical, technical, electronic, communications, telephone, computer, hardware or software errors, malfunctions or failures of any kind, intentional interference or any event beyond the control of Hudl.
  3. The Entry must not be profane, offensive, pornographic, defamatory or inappropriate as determined in Hudl’s sole discretion. Hudl reserves the right to disqualify any Entry it deems inappropriate.
  4. Entrant agrees not to submit any Entry that infringes upon any third party proprietary rights, intellectual property rights, personal or moral rights or any other rights, including without limitation, copyright, trademark, patent, trade secret or confidentiality obligations, or otherwise violates applicable international, federal, or state law. 
  5. The Entry must not contain any copyrighted works (including music) other than those owned by Entrant. Use of unauthorized music or other copyrighted works may result in disqualification of the Entry, in Hudl’s sole discretion. Entries violating this section of the Rules will be disqualified. 
  6. By entering, Entrant hereby releases and holds harmless Hudl, each of its subsidiaries and affiliates, and any others involved in the development and/or execution of this Contest, and the respective officers, directors, shareholders, agents, and employees of the same from any and all claims, demands, losses, promises, causes of action, and liabilities arising out of this Contest. 
  7. It is the Entrant’s sole responsibility to comply with his or her employer’s gift policies. Hudl disclaims any and all liability and will not be party to any disputes or actions related to this.

Elimination 

Any false information provided by Entrant within the context of the Contest concerning identity, non-compliance with these Rules, or the like, may result in the immediate elimination of Entrant from the Contest. Hudl further reserves the right to disqualify any Entry that it believes in its sole discretion infringes upon or violates the rights of any third party, otherwise does not comply with these Rules, or violates U.S. or applicable state or local law. 

Winner Selection

The winner will be chosen on Tuesday, March 10, 2020 at 5 p.m. CST. The winning Entry will be determined by who had the best highlight-worthy play or a moment with the most impact on the school, community, team or player. All submissions must be captured by Hudl Focus to be eligible. The winner will be selected by a panel of judges appointed in Hudl’s sole discretion. Hudl employees may serve as judges. All decisions of the judges are final and binding. Odds of winning depend on the number of Entries received. Hudl reserves the right not to select any winner. Judges shall use the following criteria to evaluate each Entry:

  1. The level of difficulty for the athlete(s) to complete the play, which may vary based on athletic ability.
  2. The potential inspiration and impact on others, including one’s school, community, team, or other players.
  3. The level of excitement generated by the play.

 

Prizes

  1. $2,000 worth of team-branded swag. 
  2. No monetary prize shall be awarded. Registration and bonding in New York, Florida, Rhode Island, or any other state or district is therefore unnecessary. 
  3. Hudl reserves the right to substitute the prize with another of equal or greater value, or not to award any prizes if none of the Entries received meet the stated Contest criteria, in Hudl’s sole discretion. Hudl reserves the right to disqualify any Entrant and may refuse to award any prize to an Entrant who is ineligible or has violated any of these Rules, gained unfair advantage while participating in the Contest, or obtained winner status using fraudulent means.

Winner Notification 

The winner will be directly notified by email listed on his or her Hudl profile. After they’ve been contacted, the winning team shall be announced through Hudl’s website and marketing platforms.

Intellectual Property Rights 

By submitting any Entry, Entrant, on behalf of his or herself, retains all rights to his or her Entry content. Entrant grants to Hudl and its affiliates, subsidiaries, licensees and assigns, an irrevocable, perpetual, worldwide, transferable, non-exclusive, fully paid up license, and royalty-free right to use, reproduce, listen to offline, repost, edit, display, transmit or otherwise distribute, prepare derivative works from, modify, publish, compile and otherwise make use of the submitted work (including all aspects and elements thereof) or other information in any and all media, whether now known or hereinafter created, throughout the world and for any purpose. Entrant authorizes the use, without compensation, of his/her Entry information for promotion and/or advertising purposes in any manner and in any medium (including, without limitation, radio broadcasts; newspapers and other publications; television or film releases; slides; videotape; and distribution over the Internet) Hudl may deem appropriate. Subject to the rights expressly granted in this section, all rights in content are reserved to the Entrant. 

Representations and Warranties

Entrant represents and warrants that his/her Entry is his/her own original content, or that he/she has obtained all rights, licenses, consents, releases, and permissions necessary in order to use the content at any and all times. Entrant authorizes Hudl to use his/her Entry and, as such, he/she is the sole and exclusive owner and rights holder of the submission and has the right to grant all required licenses. Entrant hereby represents and warrants that the submitted work does not and shall not infringe on any copyright, any rights of privacy or publicity of any person, or any other right of any third party. Entrant affirms he/she has the right to grant any and all rights and licenses granted to Hudl herein, including but not limited to, all necessary rights under copyright, free and clear of any claims or encumbrances. Entrant acknowledges and agrees that Hudl shall have no obligation to post, display or otherwise make publicly available any work submitted by the Entrant. 

Waiver of Liability and Agreement to Indemnify 

Hudl takes no responsibility and assumes no liability for any omissions, acts or damages that may result from preparing materials to submit to this Contest. Hudl stresses that participants safely conduct their projects and avoid potentially dangerous production situations that put themselves or any other persons at risk. 

By submitting an Entry, each Entrant, its, his, her or their heirs, successors and assigns thereby releases, forever discharges and covenants not to make a claim against or sue Hudl or its subsidiaries and affiliates, licensees, employees, officers, directors, representatives, successors and assigns, of and from all manner of action or actions, cause or causes of action, at law or in equity, suits, claims, demands, liability, loss, cost or expense, of any nature whatsoever, known or unknown, fixed or contingent, which Entrant may have or hereafter have against Hudl by reason of any injuries or damages Entrant may sustain, whether to Entrant’s person, property, reputation, or otherwise, as a result of, incident to, or related in any way to the Entry, the Contest, or the use, incorporation or exploitation of the Entry for any purpose described herein. Entrant waives and foregoes the right to seek injunctive relief against anyone relating in any way to the Entry, the Contest, or the use, incorporation, or exploitation of the materials for any purpose described herein. Entrant agrees to indemnify and hold harmless Hudl from and against any liabilities, losses, claims, demands, costs (including, without limitation, reasonable attorneys' fees) and expenses arising in connection with any breach or alleged breach of any representation made in the Entry or by virtue of submitting the Entry.
